Last Updated: October 14, 2026

PLEASE READ THESE TERMS OF SERVICE AND CONDITIONS OF SALE CAREFULLY. BY ACCESSING OUR WEBSITE, CREATING AN ACCOUNT, OR SUBMITTING A PURCHASE ORDER, YOU AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS DESCRIBED HEREIN.

1. Commercial Buyer Eligibility & Account Representation

1.1. Strictly Commercial Transactions: This website and our wholesale distribution catalogs are intended exclusively for verified commercial entities, veterinary clinics, hospitals, animal care facilities, licensed healthcare professionals, and authorized institutional buyers. We do not sell to retail consumers for personal, family, or household use. 1.2. Authority and Representations: By submitting an order or creating an account, you represent and warrant that: (a) you are acting on behalf of a valid commercial entity or licensed clinical practice; (b) you have full legal authority to bind that entity to these Terms; and (c) all state licenses, federal identifiers, and tax-exempt certificates provided are authentic and active. 1.3. Verification of Regulated Items:We reserve the unconditional right to verify professional licenses, veterinary credentials, or tax registration prior to processing or releasing any shipment. We reserve the right to cancel any order without liability if professional credentials cannot be verified.

2. Quotations, Pricing, and Order Acceptance

2.1. Pricing Adjustments & Catalog Errors: Prices published on our website, digital catalogs, or quotation sheets are subject to change without notice due to fluctuations in manufacturer costs, freight surcharges, or material availability. In the event a product is listed at an incorrect price due to a typographical or system error, we reserve the right to refuse or cancel any orders placed for that item prior to shipment. 2.2. Order Acceptance: The issuance of an automated electronic order confirmation or receipt does not signify our final acceptance of your order. An order is deemed accepted only when the goods are physically dispatched from our central warehouse hub or dropship partner facility and tracking information is issued. We reserve the right to limit order quantities or reject orders at our sole discretion.

3. Payment Terms, Taxes, and Default

3.1. Payment Methods: All orders must be prepaid via credit card, authorized debit, ACH transfer, or bank wire prior to fulfillment, unless formal written Net Credit Terms have been approved in advance by our finance department. 3.2. State and Local Taxes: All prices are exclusive of applicable federal, state, and local taxes, including the State of Hawaii General Excise Tax (GET). Buyers are responsible for all applicable taxes unless a signed, valid resale certificate (e.g., Hawaii Form G-17 or equivalent state exemption certificate) is submitted and verified on file prior to order billing. 3.3. Past-Due Accounts: For accounts operating under approved credit terms, past-due balances shall accrue finance charges at the rate of 1.5% per month (18% per annum) or the maximum legal rate permitted under applicable law, whichever is lower. The buyer agrees to pay all reasonable costs of collection, including actual attorney’s fees, court costs, and collection agency fees incurred to collect unpaid delinquent balances.

4. Shipping, Freight, and Title (FOB Origin)

4.1. Risk of Loss: All shipments are made F.O.B. Origin (or Ex Works from our fulfillment hub or designated partner warehouse). Title to the merchandise and full risk of transit loss, damage, or delay pass to the commercial buyer immediately upon delivery of the goods to the common carrier (USPS, FedEx, UPS, freight forwarder, or dedicated local courier). 4.2. Freight & Special Handling: Published shipping estimates apply strictly to standard regional package services. Surcharges for hazardous materials, heavy/palletized freight, liftgate services, temperature-sensitive handling, or outer-island freight logistics will be invoiced separately or billed according to agreed freight tables. 4.3. Delivery Inspection & Notice of Shortages: The buyer must inspect all cartons immediately upon receipt. Any claims for shortages, damaged packaging, or external carton tampering must be noted on the carrier’s bill of lading and submitted in writing to our customer care team within forty-eight (48) hours of delivery, supported by high-resolution photographs of both the outer shipping containers and inner packaging. Failure to file timely notice constitutes irrevocable acceptance of the shipment.

5. Return Merchandise Authorization (RMA) & Restocking

5.1. Mandatory RMA: No returns will be accepted without a pre-approved Return Merchandise Authorization (RMA) number issued by us. Unauthorized returns or packages received without a valid RMA clearly marked on the exterior shipping label will be refused and returned to sender at the buyer’s expense. 5.2. Return Eligibility Window: RMA requests for standard, resalable merchandise must be submitted within fourteen (14) calendar days of order delivery. 5.3. Restocking Surcharges: Approved returns of unopened, standard catalog items are subject to a twenty percent (20%) restocking and administrative processing fee. 5.4. Non-Returnable Inventory: Due to safety regulations, regulatory compliance, and biological integrity standards, the following product categories are strictly non-returnable:

  • Opened, unsealed, or expired single-use consumables, masks, and clinical disposables.
  • Cold-chain, biological, diagnostic reagents, or temperature-monitored products.
  • Special-order medical or veterinary diagnostic equipment, vaporizers, and customized hardware configurations.
  • Clearance, end-of-life, or customized private-label inventory.

6. Disclaimer of Warranties & Pass-Through OEM Coverage

We are not the Original Equipment Manufacturer (OEM) of the third-party medical hardware, diagnostic monitors, concentrators, or clinical supplies sold through this website. 6.2. Warranty Pass-Through: To the extent assignable, we pass through to the buyer all standard manufacturer warranties provided by the original equipment manufacturer. Your exclusive remedy for equipment defects, calibration failures, or hardware malfunctions rests solely between you and the respective manufacturer. 6.3. Statutory Warranty Disclaimer: EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, ALL PRODUCTS ARE DELIVERED "AS IS" AND "WHERE IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLER EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SUITABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. Any legal action, suit, or proceeding arising under or relating to these Terms shall be instituted exclusively in the federal or state courts located in Honolulu County, Hawaii, and each party irrevocably submits to the exclusive personal jurisdiction of such courts.

9. Modifications and Severability

We reserve the right to amend these Terms at any time by publishing updated terms to this page.
